1. Composition of Audit Committee
Section 177 of the Companies Act, 2013 provides that every listed company shall constitute an Audit Committee comprising of a minimum of three directors with independent directors forming a majority.
The current composition of Audit Committee is as follows:
- Mr. Harjit Singh Anand, Chairman, Independent Director
- Mrs. Lakshmi Kumar, Member, Independent Director
- Mr. Ajay Puri, Member, Independent Director
- Mr. Parvinder S Chadha, Member, Executive Director
2. Responsibilities of Audit Committees:
The AC shall act in terms of reference specified by the Board which shall, inter-alia, includes,
- The recommendation for appointment, remuneration and terms of appointment of auditors of the company;
- Review and monitor the auditor’s independence and performance, and effectiveness of audit process;
- Examination of the financial statement and the auditors’ report thereon;
- Approval or any subsequent modification of transactions of the company with related parties;
- Scrutiny of inter-corporate loans and investments;
- Valuation of undertakings or assets of the company, wherever it is necessary;
- Evaluation of internal financial controls and risk management systems;
- Monitoring the end use of funds raised through public offers and related matters.
- Oversight of the company’s financial reporting process and the disclosure of its financial information to ensure that the financial statement is correct, sufficient and credible;
- Recommendation for appointment, remuneration and terms of appointment of auditors of the company;
- Approval of payment to statutory auditors for any other services rendered by the statutory auditors;
- Reviewing, with the management, the quarterly financial statements before submission to the board for approval;
- Reviewing, with the management, the statement of uses / application of funds raised through an issue (public issue, rights issue, preferential issue, etc.), the statement of funds utilized for purposes other than those stated in the offer document / prospectus / notice and the report submitted by the monitoring agency monitoring the utilisation of proceeds of a public or rights issue, and making appropriate recommendations to the Board to take up steps in this matter;
- Review and monitor the auditor’s independence and performance, and effectiveness of audit process;
- Approval or any subsequent modification of transactions of the company with related parties;
- Evaluation of internal financial controls and risk management systems;
- Reviewing, with the management, performance of statutory and internal auditors, adequacy of the internal control systems;
- Reviewing the adequacy of internal audit function, if any, including the structure of the internal audit department, staffing and seniority of the official heading the department, reporting structure coverage and frequency of internal audit;
- Discussion with internal auditors of any significant findings and follow up there on;
- Reviewing the findings of any internal investigations by the internal auditors into matters where there is suspected fraud or irregularity or a failure of internal control systems of a material nature and reporting the matter to the board;
- Discussion with statutory auditors before the audit commences, about the nature and scope of audit as well as post-audit discussion to ascertain any area of concern;
- To look into the reasons for substantial defaults in the payment to the depositors, debenture holders, shareholders (in case of non-payment of declared dividends) and creditors;
- To review the functioning of the Whistle Blower mechanism;
- Approval of appointment of CFO (i.e., the whole-time Finance Director or any other person heading the finance function or discharging that function) after assessing the qualifications, experience and background, etc. of the candidate;
- Reviewing, with the management, the annual financial statements and auditor’s report thereon before submission to the board for approval, with particular reference to:
a. Matters required to be included in the Director’s Responsibility Statement to be included in the Board’s report in terms of clause (c) of sub-section 3 of section 134 of the Companies Act, 2013
b. Changes, if any, in accounting policies and practices and reasons for the same
c. Major accounting entries involving estimates based on the exercise of judgment by management
d. Significant adjustments made in the financial statements arising out of audit findings
e. Compliance with listing and other legal requirements relating to financial statements
f. Disclosure of any related party transactions
g. Qualifications in the draft audit report - Reviewing the utilization of loans and/ or advances from/investment by the holding company in the subsidiary exceeding rupees 100 crore or 10% of the asset size of the subsidiary, whichever is lower including existing loans / advances / investments existing
3. Authority of Audit Committee:
The AC shall act and have following authority:
- To call for the comments of the auditors about internal control systems, the scope of audit, including the observations of the auditors and review of financial statement before their submission to the Board and
- To discuss any issues related to internal control systems with the internal and statutory auditors and the management of the company.
- To investigate into any matter in relation to the performance of its duties and for this purpose shall have power to obtain professional advice from external sources and have full access to information contained in the records of the company.
- To hear the auditors of the company and the key managerial personnel when it considers the auditor’s report.
- To investigate any activity within its terms of reference.
- To seek information from any employee.
- To obtain outside legal or other professional advice.
- To secure attendance of outsiders with relevant expertise, if it considers necessary.
4. Annual General Meeting:
The Chairman of the Audit Committee shall attend the annual general meeting to answer shareholders queries and provide any clarifications on matters related to audit.
5. Secretary:
The Company Secretary shall act as the Secretary to the Audit Committee.
1. Composition of Nomination and Remuneration Committee:
Section 178(1) of the Companies Act, 2013 provides that every listed company shall constitute a Nomination and Remuneration Committee consisting of a minimum three non-executive directors. At least half of the members shall be independent directors. The chairman of the company may be appointed as member but shall not act as chairman of the N&R Committee.
The current composition of Nomination and Remuneration Committee is as follows:
- Mrs. Lakshmi Kumar, Chairman, Independent Director
- Mr. Harjit Singh Anand, Member, Independent Director
- Mr. Ajay Puri, Member, Independent Director
- Mr. Parvinder S Chadha, Member, Executive Director
2. Responsibilities of Nomination and Remuneration Committee:
The N&R Committee shall act in terms of reference specified by the Board which shall, inter-alia, includes,
- Identify persons who are qualified to become directors and who may be appointed in “senior management”
- Recommend to the Board for appointment and removal of senior management
- Carry out evaluation of every director’s performance.
- Devising a policy on Board diversity.
- Formulate the criteria for determining qualifications, positive attributes and independence of a director
- Recommend to the Board a policy, relating to the remuneration for the directors, key managerial personnel and other employees ensuring the following while formulating the policy that:-
a) the level and composition of remuneration is reasonable and sufficient to attract, retain and motivate directors of the quality required to run the company successfully;
b) relationship of remuneration to performance is clear and meets appropriate performance benchmarks; and
c) remuneration to directors, key managerial personnel and senior management involves a balance between fixed and incentive pay reflecting short and long-term performance objectives appropriate to the working of the company and its goals. - Recommend to the board, all remuneration, in whatever form, payable to senior management.
3. Annual General Meeting:
The Chairperson of the Committee or, in his absence, any other member of the committee authorised by him in this behalf shall attend General Meetings of the Company. However, it would be up to the Chairman to decide who should answer the queries.
1. Composition of Stakeholders Relationship Committee:
Section 178 (5) of the Companies Act, 2013 provides that the company shall constitute a Stakeholders Relationship Committee consisting a chairperson who shall be a non-executive director and such other members as may be decided by the Board.
The current composition of Stakeholders Relationship Committee is as follows:
- Mr. Ajay Puri, Chairman, Independent Director
- Mr. Harjit Singh Anand, Member, Independent Director
- Mr. Sunil Rajadhyaksha, Member, Executive Director
2. Responsibilities of Stakeholders Relationship Committee:
The Stakeholders Relationship Committee shall act in terms of reference specified by the Board which shall, inter-alia, includes,
- Resolving the grievances of the security holders of the listed entity including complaints related to transfer/transmission of shares, non-receipt of annual report, non-receipt of declared dividends, issue of new/duplicate certificates, general meetings etc.
- Review of measures taken for effective exercise of voting rights by shareholders.
- Review of adherence to the service standards adopted by the listed entity in respect of various services being rendered by the Registrar & Share Transfer Agent.
- Review of the various measures and initiatives taken by the listed entity for reducing the quantum of unclaimed dividends and ensuring timely receipt of dividend warrants/annual reports/statutory notices by the shareholders of the company.”
3. Annual General Meeting:
The Chairperson of the Committee or, in his absence, any other member of the committee authorised by him in this behalf shall attend General Meetings of the Company.
